1. Agreement to the Terms
These Terms of Service govern access to and use of TechAide, available at https://jointechaide.com. TechAide is operated by AskTechAide, Inc., a Delaware corporation. By accessing or using TechAide on behalf of a subscribing organization, you agree to these Terms and represent that you are authorized to do so.
If the subscribing organization has a separate written agreement with TechAide, that agreement controls to the extent it expressly conflicts with these Terms.
2. The TechAide service
TechAide is business software for field-service organizations. Depending on the features enabled for a customer, it provides field-service workflow, technician messaging, job and equipment context, company service history, governed reference material, search, evidence links, billing administration, and AI-assisted technician and administrative functionality. TechAide is not a field-service management replacement and does not itself perform trade work.
3. Eligibility and authority
You must be at least 18 years old and have the legal authority to bind your company or organization to these Terms in order to use the Service. The Service is intended for business use and is not directed to consumers or minors.
4. Accounts and access
TechAide uses company memberships and roles to control administrative and product access. Company administrators are responsible for inviting or provisioning authorized users, assigning appropriate roles, maintaining accurate team access, and promptly deactivating access that is no longer authorized. Field technicians may also be associated with a verified messaging identity and company technician record without receiving the same web-account access as an administrator.
Users are responsible for protecting their credentials, devices, email accounts, and messaging access; for not sharing credentials inappropriately; and for promptly reporting suspected unauthorized access. A user may not use another person’s identity or attempt to bypass company, role, assignment, or other access controls.
5. Customer responsibilities
The subscribing organization and its authorized users are responsible for:
- the accuracy, quality, legality, and appropriateness of information they provide or direct TechAide to process;
- having the rights and authority needed to provide employee, technician, customer, job, location, equipment, photo, message, recording, procedure, and connected-system data;
- providing notices and obtaining permissions or consents required by employment, privacy, communications, recording, consumer-protection, or other applicable law;
- obtaining legally required technician and customer messaging permissions and honoring opt-out requests;
- configuring authorized users, connected systems, and product features appropriately; and
- using TechAide safely and in accordance with professional standards, manufacturer instructions, applicable codes, and law.
6. Acceptable use
You may not:
- use TechAide unlawfully or to violate another person’s rights;
- access data, accounts, companies, systems, or product functions without authorization;
- interfere with, probe, disrupt, overload, or circumvent service or security controls;
- upload or transmit malware, malicious code, or content intended to manipulate the service into disregarding its security or safety instructions;
- share credentials or messaging identities in a way that defeats individual accountability or company authorization;
- reverse engineer, decompile, or attempt to derive source code except to the extent such a restriction is prohibited by applicable law;
- use TechAide to violate privacy, recording, telecommunications, marketing, employment, or communications laws; or
- misrepresent AI output or TechAide content as a certification, guaranteed diagnosis, or substitute for qualified work.
7. AI-assisted functionality
TechAide may generate recommendations, summaries, troubleshooting guidance, structured observations, or other AI-assisted output from authorized company information and governed reference material. AI output may be incomplete, inaccurate, unsupported, outdated, or inappropriate for a specific situation. It is not a substitute for trained professional judgment and must be independently evaluated by qualified personnel.
AI output must not override manufacturer instructions, applicable codes or laws, approved safety rules, lockout/tagout procedures, workplace requirements, or other applicable safety obligations. TechAide does not provide an engineering, legal, licensing, inspection, code-compliance, or safety certification.
8. Field safety
Users and technicians remain responsible for verifying actual equipment and site conditions; following current manufacturer procedures, applicable codes and regulations, and workplace safety requirements; using appropriate tools and personal protective equipment; maintaining required licenses or supervision; and stopping work when conditions are unsafe or outside their training or authority. Historical company records describe prior work and do not prove that the same action is safe or correct for current conditions.
9. Customer data
As between the subscribing organization and TechAide, the subscribing organization retains its rights in business data it or its authorized users submit, import, connect, or create through the service (“Customer Data”). The organization grants TechAide a limited right to host, copy, transmit, transform, index, retrieve, display, and otherwise process Customer Data only as reasonably necessary to provide, secure, maintain, and support the service, comply with authorized instructions, and meet legal obligations.
The organization is responsible for its Customer Data and instructions. Generated text does not replace the underlying evidence, and TechAide may preserve source, version, citation, and audit relationships needed to maintain record integrity.
10. TechAide intellectual property
TechAide and its licensors retain all rights in the service, software, interfaces, designs, documentation, branding, system prompts, product methods, and non-customer proprietary technology, excluding Customer Data and third-party material. These Terms provide a limited right to use the service during authorized access; they do not transfer ownership of TechAide technology.
11. Feedback
If you voluntarily provide ideas or feedback about TechAide, TechAide may use that feedback to operate and improve the service without restriction or payment, provided that TechAide does not acquire ownership of Customer Data merely because it appears in feedback. Do not include confidential Customer Data in feedback unless needed for an authorized support request.
12. Third-party services
TechAide depends on third-party infrastructure and may interoperate with customer-selected systems. Implemented dependencies include Supabase, Vercel, OpenAI, Twilio, Stripe, and Mapbox for the product functions described in the Privacy Policy. Customer-selected Service Fusion and QuickBooks workflows may also exchange authorized data. Third-party services are subject to their own terms, availability, changes, and technical limits. TechAide is not responsible for a third party’s independent products or conduct.
13. Technician Messaging Program
Where messaging is enabled and a technician is enrolled or otherwise authorized for TechAide field messaging, messages may include onboarding, job context, technician assistance, questions and responses, job-workflow prompts, and related operational messages. Message frequency varies based on assigned work and technician interaction. Message and data rates may apply.
Reply STOP to opt out of technician messaging. Reply START to reactivate messaging where permitted by applicable controls. Reply HELP for help. Consent to TechAide messaging is specific to TechAide and does not constitute consent to unrelated marketing.
Carriers are not liable for delayed or undelivered messages. RCS, SMS, and MMS availability and delivery depend on carrier, device, network, provider, destination, sender-approval, and product-configuration support. Where supported by the configured transport, RCS may automatically fall back to SMS/MMS. Messages or media may be delayed, rejected, reformatted, delivered through a fallback channel, or unavailable. Do not rely on messaging for emergencies or as the sole channel for time-critical safety instructions.
14. Fees and billing
Where paid access is offered, authorized owner or administrator users may use Stripe-hosted checkout and billing-portal functions. The applicable offering, price, capacity, taxes, and other displayed purchase terms are presented in the authorized purchase flow or a separate customer agreement. Stripe processes payment methods and related payment information under its own terms.
Fees are set forth in the applicable Order Form, subscription plan, or invoice. Unless otherwise stated in the Order Form, subscriptions automatically renew for successive terms equal to the initial term. Either party may give written notice of non-renewal at least thirty (30) days before the end of the then-current term.
Customer may cancel through account settings or by contacting legal@jointechaide.com. Cancellation takes effect at the end of the then-current billing cycle. Except as required by law or expressly stated in an Order Form, fees are non-refundable, including partial billing periods. AskTechAide may change subscription fees upon renewal with at least thirty (30) days’ prior notice.
15. Suspension and termination
TechAide may suspend or restrict access when reasonably necessary to address a security threat, unlawful use, a material violation of these Terms, risk to the service or other customers, or nonpayment where paid service applies. The subscribing organization may deactivate users through authorized administrative processes. Termination and post-termination handling may also be governed by a separate customer agreement. Suspension or termination does not eliminate obligations that by their nature should survive.
16. Service changes and availability
TechAide may update, add, limit, or discontinue service features. Product features may be gated, unavailable, or degraded because of maintenance, third-party availability, carrier behavior, security controls, or technical failures. No uptime, response-time, recovery-time, or other service-level commitment applies unless stated in a separate signed agreement.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHAIDE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TECHAIDE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. THESE DISCLAIMERS DO NOT EXCLUDE WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ASKTECHAIDE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ASKTECHAIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ASKTECHAIDE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ASKTECHAIDE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply to:
- either party’s indemnification obligations;
- either party’s breach of confidentiality obligations; or
- a party’s gross negligence or willful misconduct.
19. Indemnification
Customer will indemnify, defend, and hold harmless AskTechAide and its officers, directors, employees, and agents from claims, damages, liabilities, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) breach of these Terms; (b) misuse of the Service; or (c) violation of applicable law or third-party rights in connection with Customer Data or other submitted data.
AskTechAide will indemnify, defend, and hold harmless the customer from third-party claims alleging that the Service, as provided by AskTechAide and used in accordance with these Terms, infringes a valid U.S. patent, copyright, or trademark.
AskTechAide may, at its option:
- modify the Service;
- procure a license; or
- terminate affected functionality with a pro-rated refund.
This indemnification obligation is the customer’s sole and exclusive remedy for such infringement claims.
20. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to arbitration, disputes not subject to arbitration must be brought exclusively in the state or federal courts located in Delaware. Each party consents to personal jurisdiction and venue there.
21. Dispute resolution
Before initiating formal proceedings, the customer must first contact legal@jointechaide.com and attempt to resolve the dispute informally for at least thirty (30) days.
Any unresolved dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules.
Either party may bring an individual small-claims action for disputes within that court’s jurisdiction. Both parties waive jury trial, class action, class arbitration, and representative action.
Either party may seek injunctive or other equitable relief in court to protect intellectual property or confidential information.
22. Changes to these Terms
TechAide may update these Terms as the service or legal requirements change. Material changes will be communicated when required by applicable law or an agreement with the subscribing organization. Continued use after updated Terms take effect constitutes acceptance to the extent permitted by law.
23. General provisions
Neither party may assign its rights or obligations except as permitted by an applicable customer agreement or with the other party’s consent, subject to customary exceptions for a merger, reorganization, or sale of substantially all relevant assets. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. These Terms and any applicable signed customer agreement form the entire agreement concerning their subject matter and supersede prior discussions on that subject. Headings are for convenience only.
